Technical Due Diligence vs Legal Due Diligence in Thailand

Property buyers often hear the expression due diligence without being told that it covers several different areas. In Thailand, international buyers should clearly separate legal due diligence from technical due diligence. They answer different questions, involve different professionals and protect the buyer in different ways.
What legal due diligence examines
Legal due diligence should be handled by a qualified Thai lawyer. It may include reviewing title documents, ownership rights, contracts, land matters, permits, restrictions and other legal obligations connected with the transaction. The exact scope depends on the property and purchase structure.
What technical due diligence examines
Technical due diligence focuses on the visible condition of the building and its accessible systems. It can cover cracks, moisture, drainage, roof areas, finishes, workmanship, pools, external structures and visible electrical or plumbing concerns. The goal is to identify defects, maintenance risks and areas that may require further specialist advice.
Why one process cannot replace the other
A property can have valid legal documentation and still contain expensive technical defects. It can also appear technically well maintained while presenting legal concerns. A building inspector cannot confirm ownership rights, and a lawyer is not normally carrying out a room-by-room technical inspection. Buyers therefore need both perspectives.
When to arrange the checks
Both checks should be arranged early enough for the findings to influence the decision. The buyer may need time to request documents, obtain repair quotations, ask the seller questions or appoint an additional specialist. Waiting until the final handover can reduce the available options.
Information to share with the technical inspector
Provide the property location, type, purchase stage, known defects and available plans. Confirm which areas will be accessible and whether utilities are connected. For villas, include the pool, external drainage and plant rooms where possible. For condos, include the unit, balcony, visible services and any accessible common areas relevant to the purchase.
